Mark C. Watson

Mark Watson is a Director at Hancock, Daniel, Johnson & Nagle and is a member of HDJN’s corporate healthcare group. Mark’s practice focuses on the representation of various providers, including hospitals, health systems, physician groups, ambulatory surgery centers, and post-acute care providers, in connection with various transactional, operational, and regulatory matters.

Healthcare providers work in a challenging, complex and constantly evolving environment. These conditions require counsel who understand the rules of the road and apply them in practical ways to meet the client’s goals. In this environment, Mark has enjoyed helping clients in a wide range of transactional matters, including merger and acquisitions of healthcare entities, including hospitals, nursing homes, ambulatory surgery centers, physician groups, accountable care organizations and other networks of providers. His work also includes helping to position providers to succeed under contemporary reimbursement structures. Mark has represented health system, hospitals and provider groups in the development and implementation of clinical integration strategies, including the formation of multiple clinically integrated networks taking on a variety of structures, including wholly-owned subsidiaries, hospital-physician joint ventures, and physician-owned networks. This work often coincides with efforts to participate in modern reimbursement programs including the Medicare Shared Savings Program and the Bundled Payments for Care Improvement Initiative.

Healthcare providers also routinely engage Mark to assist in physician alignment strategies, including physician employment and recruitment, and clinical co-management arrangements. Mark also routinely provides regulatory guidance involving the Stark Law, the Anti-Kickback Statute, the False Claims Act, and HIPAA privacy and security compliance.

Whether assisting networks of providers on integration strategies, helping clients to navigate shifts in reimbursement to value-based models, or advising on the complex regulatory backdrop that impact healthcare transactions, Mark welcomes the opportunity to strategize with clients on how to best meet their goals under evolving conditions.
