Francis C. Oroszlan

Frank Oroszlan represents a variety of healthcare providers and related organizations, including hospitals and health systems, nursing facilities physicians and physician practices, dentists, clinics, ambulatory surgery centers, and other healthcare providers, in both business transactions as well as regulatory and operational matters. “Healthcare providers face myriad issues and changes emanating from healthcare reform,” says Frank. “It is my goal to develop a comprehensive legal approach to sort through these challenges in order to help our clients meet their objectives.”

Frank also has merger and acquisition experience, assisting healthcare clients from the start, working side-by-side with them to ensure the business objectives behind the deal are achieved. Frank assists clients with due diligence, drafting agreements and documentation, and navigating the various legal and regulatory frameworks that often arise.

In addition, Frank counsels clients on federal and state fraud and abuse issues; entity formation and corporate governance; physician recruitment; mergers and acquisitions; HIPAA, HITECH, EMTALA and other federal and state regulatory requirements; tax-exempt status issues; IT procurement; and state law issues such as corporate practice of medicine matters; and has experience advising clients with respect to captive insurance matters and the formation of multiple employer welfare arrangements (MEWA).

Prior to joining HDJN, Frank served as the law clerk to Judge Harold W. Burgess, Jr. (Ret.), Judge Timothy J. Hauler and Judge Frederick G. Rockwell, III, of the Chesterfield County Circuit Court.
